Agreement to Our Legal Terms
Welcome to Limasense (the "Platform"), operated by LIMA-AJA ("Company," "we," "us," or "our"). These Legal Terms constitute a legally binding agreement between you ("you" or "User") and LIMA-AJA concerning your access to and use of the Limasense Platform, including any related content, features, tools, or services.
Important: By accessing or using the Platform, you agree to be bound by these Legal Terms. If you do not agree, you must not use the Platform.
1. Our Services
Limasense is a digital platform designed to bridge the gap between smallholder farmers and agribusinesses. The Platform offers:
Digital Trading
Transparent digital trading of agricultural produce
AI Quality Verification
AI-powered crop quality verification tools
Logistics Coordination
Real-time aggregation and logistics coordination
Secure Profiling
Secure farmer and product profiling
Price Discovery
Price discovery tools that ensure fairness and market competitiveness
Our Goal: To enable trust, quality, and efficiency in agricultural trade across Africa.
2. Intellectual Property Rights
All source code, features, functionality, software, databases, designs, text, graphics, and trademarks on the Platform are owned or licensed by LIMA-AJA and are protected by applicable intellectual property laws.
You may not use, reproduce, or distribute any Platform content for commercial purposes without our written permission.
3. User Representations
By using the Platform, you represent and warrant that:
You have legal capacity and authority to enter into these Terms
All information you provide is accurate and up to date
You will not use the Platform for any unlawful or prohibited purpose
4. Prohibited Activities
You may not:
Misuse or interfere with Platform functionality
Violate any applicable laws or regulations
Use the Platform to defraud or mislead others
Circumvent payment or operational processes
Introduce malicious software or attempt unauthorized access
Exploit or resell Platform features without consent
5. User-Generated Contributions
By submitting feedback, comments, or content on the Platform, you grant LIMA-AJA a non-exclusive, royalty-free license to use such content for operational, research, or promotional purposes. You retain ownership of your contributions but waive moral rights to them.
6. Contribution License
You grant LIMA-AJA the right to store, modify, publish, and display any content you voluntarily provide. You are solely responsible for ensuring your contributions do not violate third-party rights or laws.
7. Services Management
LIMA-AJA reserves the right to:
Monitor Activities
Monitor user activities for compliance
Suspend Access
Suspend or remove access for violations of these Terms
Platform Updates
Make modifications or enhancements to the Platform at any time
8. Term and Termination
These Terms remain in effect while you use the Platform. LIMA-AJA may suspend or terminate your access for any breach, or for operational reasons. Upon termination, you must cease all use of the Platform and any remaining obligations will survive.
9. Modifications and Interruptions
We reserve the right to change, suspend, or discontinue any part of the Platform without notice. We are not liable for any loss or inconvenience caused by downtime, updates, or service changes.
10. Governing Law
Republic of Rwanda
These Terms shall be governed by the laws of the Republic of Rwanda, without regard to conflict of law principles.
11. Dispute Resolution
1 Informal Negotiations
In the event of a dispute, both parties agree to attempt to resolve it through informal negotiation for at least 30 days before initiating legal action.
2 Binding Arbitration
If a resolution is not reached, the dispute shall be finally resolved through binding arbitration under the rules of the Kigali International Arbitration Centre (KIAC). The decision of the arbitrator will be final and enforceable.
12. Limitation of Liability
Maximum Liability
To the maximum extent permitted by law, LIMA-AJA's total liability for any claim shall not exceed the lesser of:
User Payments
The total amount paid by the user to LIMA-AJA in the 12 months preceding the incident
Maximum Cap
Seven hundred thousand Rwandan Francs (RWF 700,000)
We shall not be liable for indirect, incidental, or consequential damages, including lost data, profit, or opportunity.
13. Time Limit for Claims
12-Month Deadline
Any claim related to the Platform must be filed within twelve (12) months from the date it arises.
Claims filed after this period are permanently barred.
